Terms of Service
GuestPass Cloud, a Simple Technologies product. Version 1.0 — last updated 2026-09-22.

1. Who this agreement is between
These Terms are an agreement between Simple Technologies ("we", "us") and the organization that creates an account and accepts them ("you", "Customer"). Simple Technologies, Bastrop, Texas, United States. Contact: support@simple-technologies.com.
GuestPass Cloud is a hosted service for issuing and managing guest WiFi access — vouchers, private pre-shared keys, RADIUS credentials, MAC bypasses, captive-portal sign-in and optional guest payments — on network equipment you own or are authorized to manage.
2. Accounts, organizations and the MSP relationship
The service is organized in three levels: an organization (the account holder), the companies inside it, and the sites inside each company.
If you are a managed service provider, you create and administer companies for the properties you serve. In that arrangement:
- You are the contracting party. Your customers are not parties to this agreement and have no account relationship with us unless they sign up separately.
- You are responsible for everything done in your organization, including by your staff and by the people you invite into the companies you create.
- You are responsible for having the authority to manage each network you connect, and for whatever you have agreed with your own customers about their data. We do not police the terms between you and them.
- You may charge your customers whatever you like. Your pricing is yours; what you owe us is set by your subscription.
If you are a single business using GuestPass for your own sites, all of the above applies to you directly, with one company instead of many.
Each organization sets its own identity policy. A company inside an MSP organization may set a stricter one; an MSP may set a floor its customers cannot go below. See the Security page for the sign-in methods available.
3. Your responsibilities
- Keep account credentials, API keys and bridge tokens confidential. Activity under your credentials is attributed to you.
- Connect only equipment and third-party accounts you are entitled to connect. This includes UniFi controllers and API keys, Stripe accounts used for guest payments, identity providers and any Cisco Umbrella organization whose block pages you point at us.
- Be truthful in what you show guests. If you use the captive portal, the terms, notices and questions the guest sees are yours, and you are responsible for their lawfulness. See the Acceptable Use Policy.
- Comply with the Acceptable Use Policy, which forms part of these Terms.
4. Our responsibilities
We will provide the service with reasonable skill and care, keep the platform patched and available on the terms described in section 5, and handle personal data as described in the Privacy Policy and the Data Processing Addendum.
5. Availability, support and the state of the product
We want to be plain about this rather than quote a number we cannot yet stand behind.
- GuestPass Cloud is in alpha. It runs real sites and does real work, but it is young, it changes often, and features move through release channels (alpha, then beta, then production) rather than arriving finished. You can choose which channel your organization runs on.
- There is no contractual uptime commitment and no service credit scheme. We do not offer an SLA today. When we are ready to offer one, it will be written down and priced, not implied.
- There is no 24/7 on-call rota. Support is business hours, by email to support@simple-technologies.com, from Central Time in the United States. Urgent outages are handled as fast as we can, which is not the same as immediately.
- The platform depends on services we do not control — principally Cloudflare, and, depending on what you have enabled, Ubiquiti, Stripe, Resend, Google and Cisco. An outage at one of those can take part of the service down with it.
- The on-site bridge is a separate program running on your hardware. Guest portal sign-ins pass through it. If it is offline, or the machine it runs on is off, guests at that site cannot get online through the portal. Keeping it running is your responsibility.
Planned maintenance is normally deployed without downtime. We will tell you in advance when we expect a change to interrupt service.
6. Fees
Subscription plans, limits and prices are shown on the pricing page and in your billing settings. Platform subscriptions are billed through Stripe. Fees are charged in advance for the period you select and are not refundable except where the law requires it or we have agreed otherwise in writing.
Free plans and trials may be changed or withdrawn. If we change the price of a paid plan, we will tell you before the change takes effect and you may cancel instead.
If payment fails, the account moves to a past-due state. We may suspend service after a reasonable opportunity to fix it.
7. Guest payments are not our money
If you enable guest self-pay, guests pay your Stripe account, not ours. We never take custody of those funds and we are not a party to the transaction between you and the guest. Refunds, chargebacks, disputes, tax on those sales, and the receipt the guest gets are between you, the guest and Stripe.
Your Stripe secret key is stored encrypted and used only to create charges on your behalf at your instruction. You are responsible for complying with Stripe's own terms.
8. Third-party services and trademarks
The service integrates with products we do not make. Those products are governed by their own agreements with you or with us, and their behaviour is not something we warrant.
UniFi and Ubiquiti are trademarks of Ubiquiti Inc. GuestPass Cloud is an independent product and is not affiliated with, sponsored by, or endorsed by Ubiquiti Inc. Other product names are the trademarks of their owners.
9. Suspension
We may suspend an account, an organization, a company or a site — with notice where it is practical, and without it where it is not — if we reasonably believe it is being used in breach of the Acceptable Use Policy, is endangering the platform or another customer, is abusing a third-party API in a way that risks our access to it, or is required to be stopped by law.
10. Term, termination and getting your data back
Either party may terminate for convenience at the end of the current billing period. Either party may terminate for a material breach the other has not fixed within 30 days of being told about it.
On termination:
- You can export your configuration at any time while the account is open, and your voucher, portal and payment history through the console and the API.
- Export before you cancel. We will keep your data available for 30 days after termination so you can ask for a copy or for it to be deleted. After that we delete it, and once it is deleted it cannot be recovered, including from Cloudflare's point-in-time restore window.
- We will, on a written request made within that 30-day window, provide a machine-readable export of your tenant's data.
- Credentials you have connected (UniFi API keys, Stripe keys, identity provider secrets) are deleted with the account. Revoking them at the source as well is good practice and is your decision.
11. Confidentiality
Each party will protect the other's non-public information with at least the care it uses for its own, and use it only to perform this agreement. This does not cover information that is public, already known, independently developed, or required to be disclosed by law.
12. Intellectual property
We own GuestPass Cloud and everything in it. You own your data, your branding and your content. You grant us the limited right to host and process your data in order to run the service for you. Feedback you send us we may use freely, without obligation to you.
13. Warranty disclaimer
Except as expressly stated in these Terms, the service is provided as is. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, and given section 5 you should not rely on it as if we had.
14. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business or lost data, even if told such damages were possible.
Each party's total aggregate liability arising out of or relating to this agreement is limited to the greater of (a) the fees you paid us for the service in the 12 months before the event giving rise to the claim, or (b) one hundred United States dollars.
These limits do not apply to your obligation to pay fees, to either party's liability for death or personal injury caused by its negligence, for fraud, or for anything else that cannot be limited under applicable law.
15. Indemnity
You will defend and indemnify us against third-party claims arising from your use of the service in breach of these Terms or the Acceptable Use Policy, from the network access you grant, from the content and terms you show guests, or from data you put into the service that you had no right to put there.
16. Changes to these Terms
We may change these Terms. The version and date at the top of this page tell you which version is current. For changes that materially reduce your rights, we will give at least 30 days' notice by email to the account owner, and you may terminate before they take effect if you do not accept them.
17. Governing law and venue

18. General
These Terms, together with the Acceptable Use Policy, the Privacy Policy, the Data Processing Addendum and the order or plan you selected, are the entire agreement between us on this subject. You may not assign this agreement without our consent, except to a successor to your business. Neither party is liable for failure to perform caused by events outside its reasonable control.
